IMPORTANT NOTICE: Please read these Terms of Service carefully before using the Ratedeed Platform. By accessing or using the Platform, you agree to be bound by these terms. If you do not agree to all of these terms, do not use the Platform. These terms constitute a legally binding agreement between you and Ratedeed, Inc.
These Terms of Service ("Terms") govern your access to and use of the Ratedeed website, mobile applications, and all related services (collectively, the "Platform") operated by Ratedeed, Inc. ("Ratedeed," "we," "us," or "our"). By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, Cookie Policy, and Dispute Resolution Policy, which are incorporated herein by reference (collectively, the "Agreement").
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are using the Platform on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms. You may not use the Platform if you are barred from doing so under applicable law.
Ratedeed operates an online marketplace that connects homeowners seeking home improvement, repair, renovation, and maintenance services with local contractors. The platform lets homeowners post project descriptions, receive quotes, compare contractor profiles and reviews, communicate through built-in messaging, and manage project payments through secure escrow.
Contractors can create business profiles, display qualifications and portfolios, respond to project opportunities, submit quotes, and receive payments through the platform. Ratedeed also provides contractor verification, review management, escrow payment processing, and dispute-resolution services. We are a marketplace platform and not a party to the contractual relationship between homeowners and contractors for services performed.
To access certain features of the Platform, you must create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate and complete. You are responsible for maintaining the confidentiality of your account credentials (including your password) and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
You may not create multiple accounts, impersonate any other person or entity, or use false or misleading information to create an account. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or in violation of these Terms. Accounts that are inactive for a continuous period of 24 months may be deactivated.
Contractors who wish to offer services through the Platform must create a Contractor Account and complete our verification process. As part of this process, contractors must provide accurate information about their business, including but not limited to: legal business name, trade classifications, business license numbers, insurance certificates, trade certifications, tax identification numbers, and professional references.
Ratedeed conducts verification checks on contractor credentials, including license validity. However, our verification process does not constitute a guarantee, endorsement, or warranty of a contractor's workmanship, professionalism, or suitability for any particular project. The "Verified" badge displayed on contractor profiles indicates that we have confirmed certain credentials at a point in time but does not guarantee that such credentials remain current or that the contractor will perform services to any particular standard.
Contractors agree to maintain all required licenses, permits, and insurance in good standing throughout the duration of their use of the Platform. Contractors must notify Ratedeed within five (5) business days of any changes to their licensing status, insurance coverage, or business information. Failure to maintain current credentials may result in suspension or termination of the Contractor Account.
As a homeowner using the Platform, you agree to provide accurate and complete project descriptions, including the scope of work, timeline expectations, and budget range. You agree to communicate in good faith with contractors, respond to inquiries in a timely manner, and make prompt decisions regarding quotes and proposals. You understand that project estimates provided through the Platform are estimates only and that actual costs may vary based on the final scope of work, materials, and unforeseen conditions.
You agree not to circumvent the Platform to avoid paying any applicable fees. This includes, but is not limited to, arranging for services directly with a contractor you met through the Platform with the intent of avoiding Platform fees, unless such arrangements are permitted under a separate written agreement with Ratedeed. You acknowledge that contractors you connect with through the Platform may have independent contractual obligations to Ratedeed regarding off-platform transactions.
Ratedeed provides an integrated escrow payment system to facilitate secure transactions between homeowners and contractors. When a homeowner and contractor agree on project terms, the homeowner deposits the agreed-upon amount into an escrow account managed by Ratedeed through our third-party payment processor. The funds are held in escrow until specific release conditions are met.
Escrow Release: Funds held in escrow are released to the contractor according to the payment schedule agreed upon by both parties. Standard release triggers include: completion of a defined project milestone as confirmed by the homeowner, mutual agreement between the homeowner and contractor to release funds, or expiration of the dispute resolution period without a filed dispute. Homeowners have a specified window (typically 72 hours, unless otherwise agreed) after a milestone is marked complete to review the work and raise any concerns before funds are automatically released.
Platform Fees: Ratedeed charges a service fee on each transaction. For homeowners, a platform service fee (typically 3-5% of the project total) is added to the total project cost. For contractors, a service fee (typically 10-15% of the project total) is deducted from each payment received. The applicable fee rates are displayed on the Platform and may be updated from time to time with prior notice.
Refunds: If a project is cancelled before work begins, funds held in escrow will be returned to the homeowner minus any applicable cancellation fees. If a project is cancelled after work has begun, the parties should attempt to agree on a fair compensation amount for work completed. If no agreement can be reached, either party may initiate the dispute resolution process described in our Dispute Resolution Policy.
The Platform includes a review and rating system that allows homeowners to provide feedback about their experience with contractors, and contractors to rate homeowners. Reviews are an essential part of the Ratedeed marketplace and help users make informed decisions. We encourage honest, fair, and accurate reviews.
By submitting a review, you represent and warrant that: (a) the review is based on your genuine experience with the contractor or homeowner; (b) the review is accurate and not misleading; (c) the review does not contain defamatory, obscene, threatening, or harassing content; (d) the review does not disclose confidential or private information; and (e) you have the right to post any photographs or media included with the review.
Ratedeed reserves the right to remove, modify, or refuse to display any review that violates these Terms or our content guidelines. We do not endorse, verify, or guarantee the accuracy of any review. Reviews reflect the opinions of individual users and do not represent the views of Ratedeed. Contractors and homeowners may respond to reviews about them, but may not coerce, incentivize, or intimidate users into writing, modifying, or removing reviews.
The Platform, including all content, features, functionality, software, and design (the "Platform Content") is owned by Ratedeed and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any Platform Content without our prior written consent.
The Ratedeed name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ratedeed, Inc. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.
By posting content on the Platform (such as project descriptions, reviews, photos, and messages), you grant Ratedeed a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the operation, promotion, and improvement of the Platform. You retain any ownership rights you have in your content.
You agree not to engage in any of the following prohibited activities when using the Platform:
THE PLATFORM AND ALL CONTENT, INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND OTHER MATERIALS PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RATEDEED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; WARRANTIES THAT THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; AND WARRANTIES THAT ANY DEFECTS IN THE PLATFORM WILL BE CORRECTED.
Ratedeed does not guarantee the quality, legality, safety, or suitability of any contractor, service, or work product procured through the Platform. We do not endorse, recommend, or certify any contractor. Contractor verification does not constitute a guarantee of workmanship, reliability, or professionalism. Any agreements or transactions between homeowners and contractors are solely between those parties, and Ratedeed is not a party to such agreements. You assume all risk associated with engaging any contractor through the Platform.
No advice or information, whether oral or written, obtained by you from Ratedeed or through the Platform shall create any warranty not expressly stated in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RATEDEED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT RATEDEED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL RATEDEED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNT OF FEES YOU PAID TO RATEDEED IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above exclusions may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless Ratedeed, its affiliates, directors, employees, agents, and service providers from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or inability to use the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any rights of a third party, including intellectual property rights, privacy rights, or proprietary rights; (e) any content you submit, post, or transmit through the Platform; (f) any dispute between you and another user of the Platform; (g) any services procured through the Platform; or (h) any negligent or wrongful act or omission on your part. This indemnification obligation will survive the termination of your account and these Terms.
Any disputes arising out of or related to these Terms or your use of the Platform shall be resolved in accordance with our Dispute Resolution Policy, which is incorporated herein by reference. In general, we encourage users to first attempt to resolve disputes informally through our Platform tools and customer support team. If informal resolution is unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"), except as otherwise provided in our Dispute Resolution Policy.
You agree to resolve disputes with us on an individual basis only and waive any right to bring or participate in class actions, collective actions, or representative proceedings. The arbitrator may award any relief that a court of competent jurisdiction could award, including injunctive relief.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any disputes not subject to arbitration as described above shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
